Terms of Service

Please read these Terms of Service carefully before using Dictatio. By accessing or using our service, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using Dictatio ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Dictatio is a video collaboration platform that provides video hosting, transcription, AI-powered search and discovery, and team collaboration features. The Service includes:

  • Video upload, storage, and streaming
  • Automatic transcription and captioning
  • AI-powered search across video content
  • Smart chapters and video summaries
  • Team collaboration and sharing features
  • Analytics and insights

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. You may register using supported OAuth providers (Google, Microsoft, Apple, or Facebook). You agree to provide accurate and complete information during registration.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access to or use of your account.

3.3 Account Requirements

You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

4. Subscription and Payments

4.1 Subscription Plans

Dictatio offers various subscription plans including a free tier and paid plans (Pro and Team). Features, storage limits, and pricing are described on our pricing page and may be updated from time to time.

4.2 Billing Cycle

Paid subscriptions are billed on a 30-day recurring cycle. A valid payment method is required to subscribe. You will have full access to paid features for the duration of your subscription period.

4.3 Billing

Paid subscriptions are billed in advance on a monthly basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms. Payment processing is handled by a secure third-party payment processor.

4.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will be downgraded to the free tier.

5. User-Provided Content and Data

5.1 User Content

The Service functions as a technology platform that hosts, processes, and displays content, data, files, or information uploaded or otherwise provided by users ("User Content"). The Company does not create, originate, verify, monitor, edit, or endorse User Content.

All User Content is provided solely by users, and responsibility for such content rests entirely with the user who uploads or transmits it.

You retain all rights to the content you upload to Dictatio. By uploading content, you grant Dictatio a worldwide, non-exclusive, royalty-free license to use, process, store, and display your content solely for the purpose of providing the Service to you.

5.2 No Responsibility for User Content

The Company makes no representations or warranties of any kind regarding the accuracy, completeness, legality, reliability, or appropriateness of any User Content. The Company expressly disclaims any and all liability arising from or related to User Content, including but not limited to claims involving data accuracy, intellectual property rights, privacy rights, confidentiality obligations, or regulatory compliance.

5.3 User Compliance Obligations (HIPAA / Regulatory)

Users are solely responsible for ensuring that any User Content uploaded to the Service complies with all applicable laws, regulations, and industry standards, including but not limited to privacy, data protection, confidentiality, and healthcare regulations.

Where applicable, users represent and warrant that they have obtained all required authorizations, consents, and legal permissions to upload, store, process, and transmit such data through the Service.

5.4 No Covered Entity / Business Associate Role

Unless expressly agreed to in a separate, written Business Associate Agreement ("BAA"), the Company does not act as a Covered Entity or Business Associate, as those terms are defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). Users are solely responsible for determining whether their use of the Service involves protected health information ("PHI") and for ensuring appropriate contractual, technical, and administrative safeguards are in place.

5.5 Content Restrictions

You agree not to upload, share, or transmit content that:

  • Infringes on any third party's intellectual property rights
  • Contains illegal, harmful, threatening, abusive, or defamatory material
  • Contains malware, viruses, or other harmful code
  • Violates any applicable laws or regulations
  • Contains sexually explicit material involving minors
  • Promotes violence, discrimination, or illegal activities

5.6 Right to Remove Content

The Company reserves the right, but does not assume the obligation, to remove, restrict access to, or disable User Content that violates these Terms or applicable law. We may also suspend or terminate accounts that repeatedly violate these Terms.

5.7 DMCA Compliance

We respect intellectual property rights and will respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA). To submit a DMCA notice, please contact [email protected].

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Circumvent any access restrictions or usage limits
  • Reverse engineer, decompile, or disassemble the Service
  • Resell or redistribute the Service without authorization
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity

7. AI-Generated Content

The Service uses artificial intelligence to generate transcriptions, summaries, chapters, and other content. You acknowledge that:

  • AI-generated content may contain errors or inaccuracies
  • You are responsible for reviewing and verifying AI-generated content
  • AI features are provided "as is" without warranty of accuracy
  • We are not liable for decisions made based on AI-generated content

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Dictatio and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

"Dictatio" and our logo are trademarks of Dictatio. You may not use our trademarks without our prior written permission.

9. Third-Party Services

The Service may contain links to or integrations with third-party websites or services that are not owned or controlled by Dictatio. We are not responsible for the content, privacy policies, or practices of any third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DICTATIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO DICTATIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dictatio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your User Content and account data
  • Provisions that by their nature should survive will remain in effect

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware.

15. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, either party may pursue binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dictatio regarding your use of the Service and supersede all prior agreements and understandings.
